STANDARD INSTRUCTIONS, CLAUSES, AND CONDITIONS

Pursuant to the Department of Public Works and Government Services Act (S.C. 1996, c. 16), the General Terms and Conditions B, identified in the GCSurplus.ca website by date, and title are incorporated by reference and form part of the bid solicitation and resulting contract as though expressly set out in the bid solicitation and resulting contracts.

1.0 SECURITY REQUIREMENT

  1. There is no security requirement.

2.0 REQUIREMENT

  1. For the purchase, pick-up and removal of the Asset(s) described in section 2.2 on an "as and when requested basis" for the duration of the period of the Contract as detailed in Section 6.0 entitled Terms of Contract.
  2. Details of the Asset(s) and Work Requirement
    1. The Asset(s) consists of end-of-life single-use and rechargeable batteries weighing less than 5 kg each and may consist of;
      • Li-ion batteries
      • SSLA/pb Dry Cell batteries
      • Ni-CD, Ni-MH, Ni-ZN and single-use batteries
      • Lithium primary batteries
      • Various cellphone batteries
      • Batteries that may be of an explosive or flammable nature
    2. The Asset(s) must be picked up and removed from various Government of Canada's locations within Saskatchewan. The number of pick-up points and their locations will vary, pending the number of departments participating in the program.
    3. The Purchaser must provide an internet portal that includes;
      • Up-to-date information on how to register for the battery recycle program.
      • A list of the Government of Canada contacts within GCSurplus.
      • A toll-free number to call the Purchaser for support.
      • Other alerts and communications as needed.
  3. For the purpose of this contract, used batteries by kilogram (kg) will be the base unit offered.
  4. Bins/Containers
    1. The Purchaser must provide the required number and appropriate size containers to the Government of Canada departments for the accumulation of material and replace the container(s) at the time of removal.
  5. Asset(s) Removals
    1. Removals will be on an "as and when required" basis. The custodian will notify the Purchaser when removal is required.
    2. The Purchaser must remove the Asset(s) on a date and time mutually agreed upon with the custodian.
    3. Upon notification, the Purchaser must remove, weigh and purchase the Asset(s) in accordance with the Terms and Conditions of this Contract.
    4. The loading and removal of the Asset(s) are the sole responsibility of the Purchaser and at the Purchaser's own expense.
  6. Weigh Bill Reports
    1. The Purchaser must record the weight of the Asset(s) removed and submit volume summaries (weigh bill reports) monthly or as mutually agreed to by the Purchaser and GCSurplus.
    2. The weight bill report must be in accordance with the "Unit of Issue" as shown in the Offer to Purchase and include the net weight of material (kilograms to two [2] decimal places).
    3. The Purchaser must pay the cost of weight bill reports.
  7. Transportation and Handling Requirements
    1. The Purchaser must comply with all Transport Canada regulations pertaining to the Dangerous Goods Act and all federal and provincial environmental regulations with regards to handling, packaging and shipping the Asset(s).
    2. The Purchaser assumes full responsibility for damages to property, personal injuries, or loss of life that may result from handling the Asset(s).
    3. Vehicles or equipment used to carry out the work must be certificated for the materials it will carry.
    4. WHMIS training for the Purchaser and any personnel is the responsibility of the Purchaser. Documentation to verify the training and qualifications are current must be provided upon request by GCSurplus.
    5. The Purchaser understands and agrees that the Asset(s) they acquire under this Contract will be recycled.
    6. The Purchaser understands and agrees that should they dispose of the Asset(s) in any way other than to recycle them, all applicable federal and provincial provisions will apply to the Purchaser as the Purchaser will be considered as the waste generator.

3.0 ESTIMATED QUANTITY AND EXTENDED PRICE

  1. The estimated quantity for removal is 10,000 kg over a twelve (12) month period.
  2. The Estimated Quantity of Asset(s), and its corresponding estimated Extended Price specified herein, are only an approximation of requirements given in good faith. The Purchaser will have no claim against GCSurplus for shortages. Amounts in excess of the Estimated Quantity or Estimated Extended Price or will be paid in accordance with the Basis of Payment specified herein.
  3. This Contract will be for the actual quantity of Asset(s) purchased during the period of the Contract and will not constitute an agreement by Canada to sell any or all of the said Asset(s). The quantity of Asset(s) sold under this Contract maybe more or less than the Estimated Quantity of Asset(s) and the Estimated Extended Price specified herein.

4.0 SECURITY DEPOSIT

  1. A security deposit in the form of a certified cheque, an irrevocable standby letter of credit, or a credit card payment, as accepted and approved at the discretion of the GCSurplus Representative, made out to the Receiver General of Canada for an amount of twenty percent (20%) of the determined contract value, is a condition precedent to Contract award.
  2. Should the Purchaser fail to respect their obligations under the Contract, the deposit will be forfeited to GCSurplus. Such forfeiture must not limit or curtail any of GCSurplus rights as stipulated by law or in the Contract.

5.0 BIDDING REQUIREMENT

  1. Prospective bidders should submit offers according to the "Unit of Issue" as shown on the Offer to Purchase form.
  2. The bids should indicate the amount ($) per kilogram (kg). Bids submitted in "Units of Issue" other than the above may be considered invalid.
  3. The unit price submitted includes transporting, setting up and operating materials or equipment, as well as the Purchaser's overhead, administration, insurance, contributions, interest, rent, taxes and other incidental expenses.

6.0 TERMS OF CONTRACT

  1. The period of the Contract is from January 1, 2024, to December 31, 2025, inclusive.
  2. Option to Extend Contract
    1. Upon the agreement of both Parties, the period of the Contract may be extended by and up to two (2) additional periods of one (1) year under the same terms and conditions. The Purchaser agrees that, during the extended period of the Contract, they will pay Canada in accordance with the applicable provisions as set out in the Basis of Payment.
    2. Canada will notify the Purchaser within thirty (30) calendar days before the Contract expiry date of its desire to extend the period of the Contract. The option may only be exercised by the GCSurplus Representative.
    3. The agreement to extend the period of the Contract will be evidenced, for administrative purposes only, through a Contract amendment prepared by the GCSurplus Representative.

7.0 INVOICING

  1. GCSurplus will send an invoice upon receipt of the weight bill report.
  2. The invoice must be paid in full by the Purchaser within twenty-one (21) days from the date of issue.

8.0 APPLICABLE LAWS

  1. The Contract must be interpreted and governed, and the relations between the parties determined, by the laws in force in Saskatchewan.

Payment and Removal
Payment:
The Purchaser agrees to make any payment requested (see available payment options) by the Minister within 21 calendar days from the date of such request and prior to removal of any of the property.
 
Removal:
The Purchaser, upon acceptance of this offer by the Minister and after payment in full has been received by the Minister, shall at their expense, pack, load and remove the property by the date indicated on the bill of sale or, if no date is shown, within 5 calendar days after the date the bill of sale is issued.
