STANDARD INSTRUCTIONS, CLAUSES AND CONDITIONS

  • Pursuant to the Department of Public Works and Government Services Act (S.C. 1996, c.16), the General Terms and Conditions B, identified in the GCSurplus.ca website by date, and title are incorporated by reference and form part of the bid solicitation and resulting contract as though expressly set out in the bid solicitation and resulting contract.
  1. SECURITY REQUIREMENT
    • There is no security requirement.
  2. REQUIREMENT
    • 2.1 For the purchase, pickup and removal of the Asset(s) described in section 2.2 on an "as and when requested basis" for the duration of the period of the Contract as detailed in Section 6.0 entitled Term of Contract.
    • 2.2 Details of the Asset(s) and Work Requirement
      • Assets: End-of-life consumer batteries of various kinds:
        • Batteries each weighing less than 5kg
          • Li-ion batteries
          • SSLA/pb Dry Cell batteries
          • Ni-Cd, Ni-MH, Ni-Zn and single use batteries
          • Lithium Primary Batteries
          • Various types of cellphone batteries
        • The successful Contractor must provide an internet portal that provides up to date information on how to register for the program, list government of Canada GCSurplus contacts, list a toll free number to call the Contractor for support and other "as needed" communications alerts
        • Note: This contract is for End-of-Life, single use and rechargeable Batteries and is not to be used for disposal of Electronic Waste (E-Waste) and vehicle or industrial lead acid batteries.
        • E-Waste material disposed through this end-of-life battery contract must be removed and managed in an environmentally sound manner. All associated costs are the responsibility of the client department that declared the material surplus.
      • Work Requirement: Batteries will be collected at various government building in the province of Ontario. Exact locations and number of sites will vary and will be determined as departments register for the program.
      • Note: The contractor is advised that this material may be of an explosive or inflammable nature.
    • 2.3 Any Contract will be for the actual quantity of Asset(s) that Canada requests the Purchaser to purchase during the period of the Contract and will not constitute an agreement by Canada to sell any or all of the said Asset(s). The quantity of Asset(s) sold under the Contract may be more or less than the Estimated Quantity of Asset(s) and the Estimated Extended Price specified herein.
    • 2.4 Upon request, the Purchaser must provide appropriate, sealed packaging and shipping materiel that meets industry standards.
    • 2.5 Prior to the removal of any Asset(s), the Purchaser must ensure that an empty container is left at the site to replace the full one that is picked up.
    • 2.6 The Purchaser must remove filled containers during business hours, as specified by the Custodian, within two (2) working days of notification by the Custodian.
    • 2.7 The loading and removal of the Asset(s) are the sole responsibility of the Purchaser and at the Purchaser's own expense.
    • 2.8 The contractor shall record the weight of all battery boxes received and submit volume summaries and payment quarterly or as determined by the GCSurplus Region. These reports and payment must be forwarded to:
      • GCSurplus Ontario Sales Centre
      • 40-40 rue Carl Hall
      • North York, ON, M3K 2C1
      • Failure to provide the referenced weight reports as indicated may result in termination of the period contract.
    • 2.9 Transportation Requirements:
      • Vehicle/equipment used to carry out the work must be must be certified for the product it will carry.
      • WHMIS Training: WHMIS training for all Contractor personnel is the responsibility of the Contractor and documentation MUST be provided to reflect that the training and qualifications are current upon request by GCSurplus.
      • The Contractor must comply with all Transport Canada regulation pertaining to the Dangerous Goods Act and all federal and provincial environmental regulations with regard to handling, packaging and shipping of the above noted material and assumes full responsibility for damages to property, personal injuries or loss of life that may result from processing such items. The contractor agrees to and shall indemnify and save harmless Canada, PWGSC, GCSurplus and client department from and against all claims or demands in respect of any damages, injuries or loss.
      • The Contractor understands and agrees that the batteries they acquire as a result of this requirement will be recycled. The Contractor will recycle the batteries in a manner that conforms with all applicable laws, regulations and other requirements of the jurisdiction in which they operate (federal, provincial, and municipal) as they relate to the Environment, Public Health and Safety, Labour and Dangerous and/or Hazardous Wastes and their collection, storage, transportation, and processing.
      • The Contractor also understands and agrees that should they decide to dispose of the batteries in any way other than to have them recycled that all applicable provision of the province will apply to the contractor as the contractor will be considered as waste generator.
    3. ESTIMATED QUANTITY AND ESTIMATED EXTENDED PRICE
    • The estimated quantity of Asset(s) and its corresponding estimated extended price specified herein are only an approximation of requirements given in good faith. The Purchaser will have no claim against GCSurplus for shortages. Amounts in excess of the Estimated Quantity or Estimated Extended Price will be paid in accordance with the Basis of Payment specified herein.
    4. SECURITY DEPOSIT
    • A security deposit in the form of a certified cheque, an irrevocable standby letter of credit or a credit card payment as accepted and approved at the discretion of the GCSurplus Sales Representative, made out to the Receiver General for Canada of an amount of one hundred dollars ($100.00) is a condition precedent to Contract award. Should the Purchaser fail to respect fully his/her obligations under the Contract, the deposit will be forfeited to GCSurplus. Such forfeiture must not limit or curtail any of GCSurplus rights as stipulated by law or in the Contract.
    5. BIDDING REQUIREMENT
    • Prospective bidders should submit offers according to the “Unit of Issue” as shown on the Offer to Purchase form. The bids should indicate amount ($) per Kg. Bids submitted in “Units of Issue” other than the above may be considered invalid.
    • The unit price also includes transporting, setting up and operating materials and/or equipment, as well as the company's overhead, administration, insurance, contributions, interest, rent, taxes and other incidental expenses.
    6. TERM OF CONTRACT
    • 6.1 Period of the Contract
      • The period of the Contract is from 01/01/2019 to 31/12/2021 inclusive.
    • 6.2 Option to Extend the Contract
      • 6.2.1 Upon mutual agreement of both Parties, the period of the Contract may be extended by and up to two (2) additional period of one year (1) under the same terms and conditions. The Purchaser agrees that, during the extended period of the Contract, he will pay Canada in accordance with the applicable provisions as set out in the Basis of Payment.
      • 6.2.2 Canada will notify the Purchaser within thirty (30) calendar days before the Contract expiry date of its desire to extend the period of the Contract. The option may only be exercised by the GCSurplus Sales Representative.
      • 6.2.3 The agreement to extend the period of the Contract will be evidenced, for administrative purposes only, through a Contract amendment prepared by the GCSurplus Sales Representative.
    7. INVOICING
    • The GCSurplus Sales Representative will send an invoice upon receipt of weight scale ticket.
    8. APPLICABLE LAWS
    • The Contract must be interpreted and governed, and the relations between the parties determined, by the laws in force in Ontario.
    • Specifically the contractor must meet the following standards:
      • Ministry of the Environment Federal and Provincial Certificates of Approval.
      • Transportation of Dangerous Goods Act (TDGA);
      • Export and Import of Hazardous Waste and Hazardous Recyclable Material Regulations, 2005 (EIHWHRMR) under the Canadian Environmental Protection Act.

Payment and Removal
Payment:
The Purchaser agrees to make any payment requested (see available payment options) by the Minister within 30 calendar days from the date of such request and prior to removal of any of the property.
 
Removal:
The Purchaser, upon acceptance of this offer by the Minister and after payment in full has been received by the Minister, shall at their expense, pack, load and remove the property by the date indicated on the bill of sale or, if no date is shown, within 2 calendar days after the date the bill of sale is issued.
